Virtual Asset Issuance Support

Legal support for issuing asset-referenced and fiat-referenced virtual assets, utility tokens and other digital assets in the UAE — from classification to launch.

Issuing a virtual asset in the UAE — whether an asset-referenced token, a fiat-referenced token, a utility token or another digital asset — starts with one question: what is this token, legally? The answer decides which regulator is involved, what documentation you need and who you may offer it to. We support issuers through the full journey, from classification to launch.

Who this is for

Businesses issuing asset-referenced virtual assets, fiat-referenced virtual assets, utility tokens or other digital assets — in or into the UAE.

What we do

  • Classify the token under the relevant UAE framework — VARA, ADGM, DIFC, CMA or CBUAE — before you build.
  • Design the issuance structure: issuer entity, jurisdiction, governance and licensing route.
  • Draft and review token terms, offering documents and disclosures.
  • Advise on distribution — who you can offer to, where and how.
  • Coordinate regulatory approvals where the issuance requires them.

Why classification comes first

The same token design can be a payment instrument under one framework and a virtual asset — or a security — under another. Fiat-referenced tokens in particular sit close to the CBUAE’s payment-token regime, while asset-referenced structures may engage VARA rules or securities regulation under the CMA. We resolve this before documentation, so nothing is built on the wrong assumption.

Frequently asked questions

Do I need a licence to issue a token in the UAE?

Not always — it depends on the token’s classification, where it is issued and to whom. Some issuances require a licence or approval; others require none. The classification analysis answers this definitively.

What is the difference between asset-referenced and fiat-referenced tokens?

Broadly: fiat-referenced tokens track a currency and sit close to payments regulation; asset-referenced tokens track other assets and can engage virtual-asset or securities rules. The boundary matters — and it is precisely where legal analysis earns its keep.

Can you review a token that has already launched?

Yes. We regularly assess live tokens for issuers that need regulatory certainty after the fact — for an exchange listing, an investor, or a regulator’s question.
